When buyers walked away from the San Francisco Centre Mall deal, the city took most of the blame. But the real problem has never been about regulations or downtown politics. The mess is on the sellers' side, where no one actually has the authority to close a sale.
The mall's ownership structure is a tangled web of lenders, special servicers, and investment funds. Each piece of the ownership pie is held by a different entity with different priorities. Some want to cut losses and sell fast. Others are holding out for a better price. A few are stuck in legal disputes with each other. The result is a paralysis that no single party can break.
Potential buyers have come and gone. They sit through meetings, tour the property, and then realize they are negotiating with a group that cannot agree on anything. One source close to the deal described it as "trying to buy a house from a couple going through a divorce, except there are 12 people in the couple."
The city did play a role in scaring off some investors. High vacancy rates, retail closures, and safety concerns in the surrounding area made the mall a tough sell. But those are problems the city shares with many downtowns across the country. The unique obstacle here is the ownership chaos.
Until the lenders and investors sort out their internal fights, the mall will remain in limbo. No amount of city incentives or tax breaks can fix a deal where the sellers cannot agree to sell.
